These Terms and Conditions ("Terms of Service") govern your ("you") access to and use of the AUPM suite of websites operated by AUPM SRL and its affiliates and subsidiaries (collectively referred to as "AUPM," "we," or "our"). These Terms apply to all AUPM websites linking to this policy, including www.aupm.be, www.aupm.uk, www.aupm.fr, www.aupm.de, www.aupm.nl, and www.aupm.co, as well as www.veggizoo.com (collectively referred to as the "Websites"). They also cover any downloadable applications provided by AUPM ("Applications," collectively referred to with the Websites as the "Platform") and all services offered by AUPM through the Websites, including but not limited to our monthly subscriptions, products, and gift services (collectively referred to as the "Services").

This document contains important information regarding your rights, obligations, and the conditions, limitations, and exclusions that apply to you. Please read it carefully.

By accessing or using the Platform (as defined below), you acknowledge and agree to be bound by these Terms of Service (including the Arbitration Agreement and Class Action Waiver outlined herein, whereby disputes between you and us will be resolved through binding individual arbitration unless otherwise stated, and you waive the right to participate in class actions or class arbitrations) and our Privacy Policy. Additionally, you confirm that:  
(A) Your access to and use of the digital Platform will comply with these Terms of Service and all applicable laws, regulations, and rules; and  
(B) You have reached the legal age to enter into a binding contract.

If you do not agree to these Terms of Service or the Privacy Policy, you may not access or otherwise use the Platform.

We reserve the right to modify these Terms of Service at any time and for any reason. Changes will take effect upon posting the updated Terms on our Platform. However, such changes will not apply to any paid service subscriptions valid until the subscription expires or is terminated. Unless otherwise specified, these Terms of Service apply to all AUPM services and features.

Please read these Terms carefully as they constitute a binding contract between you and VEGGIZOO. Furthermore, these Terms include an Arbitration Agreement that requires you and VEGGIZOO to resolve certain claims through binding individual arbitration rather than in court and limits claims in class actions unless you opt out as outlined in the Arbitration section (see Section 24, "Enforcement - Arbitration Agreement").

AUPM provides subscription services delivering dog-related products to your doorstep each month or as gifts to other dog owners. Accessing the Platform, using the Services, and purchasing products are subject to these Terms of Service and AUPM’s Privacy Policy available on the Website.

1. Acceptance of Terms
By using the Platform or subscribing to our Services, you unconditionally accept these Terms of Service. Please read carefully, as these Terms may have changed since your last visit. The latest version of these Terms is available at [aupm.be/terms-of-service](https://www.aupm.be/terms-of-service).

2. Scope of Services
AUPM maintains the Platform to provide services to users accessing it, subject to these Terms of Service. You are responsible for obtaining the necessary equipment and internet services to access the Platform and covering associated costs. We reserve the right to modify, suspend, or discontinue all or part of the Platform or Services at any time without notice. We may also restrict certain users or all users from accessing parts of the Platform and/or Services. The Platform may occasionally be unavailable due to maintenance, equipment failure, or other reasons.

3. Website Content
Under these Terms of Service, users are granted a personal, non-transferable, and non-exclusive right to access and use the content available on the Platform. "Content" refers to all information, text, images, data, links, software, or other materials accessible on or through the Platform or Services, whether created by us or provided by third parties.

Content may contain typographical errors, unintentional inaccuracies, or other errors. We reserve the right to modify file names, descriptions, specifications of products or services, or other information without the obligation to notify users of such changes.

You may view, copy, download, and print Content from the Website or Services provided that:
- Content is used solely for internal informational purposes.  
- No part of the Website or Content may be reproduced or distributed in any form or by any electronic or mechanical means, including photocopying or recording, for any other purpose.  
- Content is not modified.  
- Copyright, trademark, and other proprietary notices remain intact.  

No Content on the Platform shall be construed as granting any license or rights to use the Platform or any displayed Content through framing or other means unless explicitly permitted by:  
(a) these Terms of Service; or  
(b) prior written permission from us or any third party owning the trademarks or copyrights on the materials displayed on the Platform.

4. Registration and Subscription; Product Sales
**a. Registration:** Certain Services are available only to registered users. To become a registered user ("Customer"), you must complete a registration form, provide a username or email address, and create a password ("Login Credentials"). During registration, you must provide truthful contact information (e.g., your name and email address) in compliance with these Terms of Service. Additional information, such as credit card details and information about your dog, may also be required for certain Services. You are responsible for protecting your Login Credentials against unauthorized use and for all activities occurring under your account (including financial obligations). If you believe your Login Credentials have been or may have been used without your authorization, notify us immediately to take appropriate action. We are not liable for any losses or damages arising from your failure to secure your Login Credentials. All information you provide to AUPM is subject to our Privacy Policy. You are responsible for keeping your registration information current through the account page, where this functionality is available.

**b. Communication and Notifications:** To begin your recurring monthly subscription, you must register as a member on the applicable Platform. Registration requires providing information about your dog (such as size for selecting suitable products), shipping details (including address and billing information), and a valid email address and password to create your login profile. All information you provide (including payment details) is subject to AUPM’s Privacy Policy. You are responsible for keeping your registration details current through the account page on the Platform.

As a registered user, you agree to receive promotional emails regarding special offers (including those from third parties). Occasionally, we may send push notifications or emails about upcoming events, service updates, or monthly newsletters from us and our partners. You can opt out of promotional emails or newsletters by clicking the "Unsubscribe" link in any promotional email.

5. Monthly Deliveries
**a. Orders:** Customers may occasionally place orders for products through specific Platforms, either as one-time purchases (e.g., via AUPMShop) or as part of a monthly subscription. Such products will be shipped by us or a third-party carrier to the address provided during the order process. Unless otherwise specified, you are responsible for shipping costs.

**b. Subscription Product Selection:** By registering with AUPM, the selection of items delivered to your dog each month may vary. Therefore, AUPM cannot guarantee that the products available during one period will be available in subsequent periods.

As a subscribing AUPM member, you will receive a monthly package containing various dog-related items such as toys, treats, shampoo, hygiene products, food samples, or other dog-related goods ("Products"). The product selection may change each month. As such, AUPM does not guarantee that products available at one time will be available in the future.

By subscribing, you agree to pay a monthly subscription fee for the products provided.

6. Billing and Payment
We may offer Services either free of charge or for a fee, including monthly AUPM subscriptions. We reserve the right to adjust our fee structure at any time, except for subscription fees applicable to existing subscription periods. We also reserve the right to introduce special promotional pricing, memberships, and other programs that may be limited to specific users at our discretion.

If you purchase any paid Services from us, whether as a one-time purchase or through a subscription, you agree to pay AUPM directly or via a third-party payment processor. You further agree to pay all applicable fees (including recurring subscription fees) and taxes when due.

Payment for products and/or services must be made in full before delivery. Currently, we accept the following credit cards: Visa, MasterCard, Discover, and PayPal.

7. Subscription Renewals

Your subscription will automatically renew each month, and you will be charged the current subscription fee. If you have committed to a subscription plan longer than one month (e.g., 6-month or 12-month plans), you will be charged monthly for the subscription period, even if you cancel before the term ends. Additionally, your subscription will remain active until you cancel. If you cancel before the end of your current subscription period, you will still be charged for the remaining months of that subscription period.

To cancel your subscription, you must log in and cancel through the Platform applicable to the Service or contact our Happy Team using the contact information provided on our website before the first day of the calendar month following the end of your subscription period. Your subscription will remain active until you cancel. If you fail to cancel before the first day of the calendar month following the end of your subscription period, your subscription will automatically renew for a new subscription period of the same length.

All cancellation requests received after the first day of the calendar month following the subscription period will apply to the next subscription period. We reserve the right to decline to renew any subscription at our sole discretion.

8. Payment

You agree that AUPM may charge your payment method for any Services, subscriptions, or products you purchase, as well as any additional amounts associated with your account and Login Credentials (including applicable taxes such as local sales tax or VAT and late fees, if applicable). You are responsible for ensuring timely payment of all fees and providing a valid payment method to AUPM to cover these charges as outlined in our shipping, returns, and exchange policies.

Prices for products and Services offered through the Platform are subject to change at any time. We do not provide price protection or refunds in the event of price reductions or promotional offerings. For your convenience and to maintain uninterrupted membership, if your payment method expires and you do not update your credit card information or cancel your account, you authorize us to continue charging the stored payment method, including extending the expiration date, until you or the credit card issuer notify us that the account is no longer valid. If you wish to stop receiving monthly deliveries, we encourage you to either update your payment method information or cancel your account.

We use third-party payment services to process credit card information instead of handling it directly. By submitting your credit card information, you grant AUPM the right to store and process your payment details using third-party payment services, which may change over time. You acknowledge that AUPM is not responsible for any failure by third parties to adequately protect such information. All financial transactions involving your information are subject to the terms and conditions and privacy policies of the third-party payment service provider. You acknowledge that we may switch third-party payment services and transfer your information to providers who secure your data using Secure Socket Layer (SSL) or similar encryption technology.

9. Shipping and Risk of Loss

Unless otherwise stated at the time of purchase, shipping and handling fees are included in your order. Delivery dates and/or arrival times are estimates only. If you believe that part or all of your order has been lost or damaged, you must notify AUPM within 30 days of the purchase date.

For items claimed to be undelivered but shipped, we will replace the product or refund your account based on the outcome of our investigation, which may include notifications from postal services. We reserve the right to adjust your account at our sole discretion. Repeated claims of undelivered items may result in the termination of your membership.

 10. International Access

The Platform is accessible from countries outside Belgium. However, the Platform and Services may reference products offered only within Belgium and its territories. Such references do not imply that these products will be available outside Belgium. If you access and use the Platform from outside Belgium, you are responsible for complying with local laws and regulations.

11. Order and Subscription Cancellations

We strive to ensure your satisfaction with our subscriptions. However, you may cancel your current membership through the account page on the website or by contacting our Happy Team. You must cancel before the first day of the calendar month following the end of your current subscription period.

Your subscription will remain active until you cancel, and if you cancel before the end of your subscription period, you will still be charged for the remaining months of that subscription period.

If you fail to cancel before the first day of the calendar month following your subscription period, your subscription will automatically renew for a new subscription period of the same length.

Cancellation requests received after the first day of the calendar month following the subscription period will apply to the next subscription period.

We reserve the right to terminate your membership without notice if we determine that your behavior violates these Terms of Service or our policies, harms our business interests, or if your account remains inactive.

12. User-Submitted Content

a. Submitted Content:** Some AUPM Platforms and Services allow users to upload content that may be visible to other users and/or the public. You are solely responsible for any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, original works, applications, links, and other content or materials you submit, use, display, or share on or through the Platform ("User Content"). You must not submit, upload, post, display, or share any User Content that you do not have the right to use or share through the Platform.

b. Ownership of Content:** AUPM does not claim ownership of any User Content. However, by submitting such User Content, you grant AUPM the right to copy, store, and provide it to other users as it relates to your use of the Platform and Services. AUPM also retains the right to use such User Content online (including on the web, mobile devices, and email) or offline (including print, film, and broadcast media). When you provide User Content to other users of our Platform or Services, you grant those users a global, royalty-free, perpetual, irrevocable, non-exclusive license to use such User Content. This license remains in effect until the User Content is deleted from our systems.

c. User Representations:** You represent and warrant that:  
(i) You own or have the rights to submit and use the User Content on or through the Platform and grant the rights and licenses outlined in these Terms;  
(ii) Submitting and using your User Content on or through the Platform does not violate, misappropriate, or infringe any third-party rights, including but not limited to privacy, publicity, copyright, trademarks, or other intellectual property rights;  
(iii) Your User Content does not contain defamatory or otherwise illegal, abusive, or obscene material;  
(iv) You agree to pay all royalties, fees, and other amounts owed due to your submission or use of the User Content on or through the Platform;  
(v) AUPM has the right to use your User Content as permitted herein without any obligation of confidentiality, attribution, or compensation to you; and  
(vi) You have the legal authority to enter into these Terms in your jurisdiction.

d. Required Disclosures:** You acknowledge and agree that AUPM may store and/or retain User Content and disclose it and/or other information you provide if required to do so by law or in good faith belief that such preservation or disclosure is reasonably necessary to:  
(a) Comply with legal process;  
(b) Enforce these Terms;  
(c) Respond to claims that User Content violates third-party rights; and/or  
(d) Protect the rights, property, or personal safety of AUPM, its representatives, agents, users, or the public.

e. Accuracy:** You may use the Website (but not subscribe to our Services) without providing personal information. For more details on how we handle personal information, refer to our Privacy Policy. However, if you choose to provide information to register, participate in activities or promotions, or use our Services, you agree to provide accurate, complete, and up-to-date information as requested.

f. Responsibility:** AUPM is not responsible for user conduct or opinions, statements, or content expressed in public submissions through the Platform (e.g., online forums or chat rooms). AUPM does not pre-screen information posted to online forums or chat rooms. For such forums, AUPM serves as a passive conduit for content distribution and assumes no liability. Opinions, advice, statements, offers, or other information provided by forum or chat room users reflect those of the respective authors or distributors and not AUPM. Users are responsible for ensuring their content does not infringe upon others' copyrights, trade secrets, or intellectual property rights.

g. Monitoring:** AUPM reserves the right (but not the obligation) to monitor content submitted to the Platform through forums or chat rooms to ensure compliance with these Terms and other applicable rules. AUPM may edit or remove content at its discretion if it deems the material offensive or non-compliant. Users remain solely responsible for content they post.

13. Prohibited Content

By accessing the Platform, any chatrooms, online discussion forums, or other services provided through our Platform, you agree to adhere to the following code of conduct. You agree not to, and will not authorize or assist others to:

1. Transmit any content that AUPM deems illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, offensive, obscene, pornographic, indecent, lewd, or otherwise objectionable.
2. Use names or language that AUPM, at its sole discretion, considers offensive.
3. Make defamatory statements.
4. Post hateful or racially or ethnically objectionable content.
5. Post content that infringes on another's copyright, trademark, or trade secrets.
6. Post unsolicited advertisements or unlawfully promote products or services.
7. Harass, threaten, embarrass, or intentionally distress any person or entity.
8. Impersonate others.
9. Promote, solicit, or engage in any multi-level marketing or pyramid schemes.
10. Exploit children under 18.
11. Engage in disruptive activities such as spamming forums with multiple messages to dominate discussions.
12. Introduce viruses, worms, Trojan horses, or harmful code to the Platform.
13. Gain unauthorized access to any computer system via the Platform.
14. Violate the privacy of others, including publishing personal information without consent (or without parental consent for children under 13).
15. Solicit personal information from children under 13.
16. Violate any federal, state, local, or international laws or regulations.
17. Encourage behavior that constitutes a criminal or civil offense.

14. Minors

AUPM’s services are available only to individuals aged 18 or older who can enter into legally binding contracts under applicable law. Individuals under the age of 18 may use these services only under the supervision of a parent or legal guardian. In such cases, the adult is considered the user and is responsible for all activities, subscriptions, and purchases.

15. Intellectual Property

Unless otherwise stated, all content on the Platform is the property of AUPM and/or its affiliates or licensors and is protected under Belgian and European copyright, trademark, international conventions, and other intellectual property laws. Product names are trademarks or registered trademarks of their respective owners.

Unless otherwise stated, all information, text, images, audio, video, data, links, software, or other materials not submitted, uploaded, or provided by you ("AUPM Content") are owned by AUPM or its licensors (which may include other users of our Services). AUPM Content is protected by copyrights, trademarks, patents, trade secrets, and other rights held by AUPM and its licensors. AUPM retains all rights to the AUPM Content, Services, and Platform, except for your limited, non-transferable, non-sublicensable, non-exclusive, revocable right to access and use the Services, Platform, and AUPM Content solely for personal use and in compliance with these Terms.

Proprietary Notices; No Other Licenses

You may not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices included in or accompanying the AUPM Content. You may not copy, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license, or otherwise exploit any AUPM Content without prior written consent. 

Nothing on the Platform or in the Services shall be construed as granting any license or rights to use the Platform, Services, AUPM Content, or trademarks, whether by implication, estoppel, or otherwise, except:  
(a) as expressly permitted in these Terms; or  
(b) with prior written permission from AUPM or the respective third-party owner of such materials.

You may view, copy, download, and print AUPM Content provided:  
1. It is used only for your internal informational purposes and in compliance with applicable laws and regulations.  
2. You do not resell or use the Services to provide services to third parties.  
3. You do not copy, distribute, or transmit any part of the Services or AUPM Content in any form or by any means.  
4. You do not modify or create derivative works from AUPM Content.  
5. You do not remove copyright, trademark, or proprietary notices from the AUPM Content.  

 User-Submitted Content and Licensing

We do not claim ownership of User Content unless compensation is provided by AUPM. However, by submitting content, you grant AUPM a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, distribute, reproduce, modify, adapt, create derivative works from, publicly perform, and display such content. This license remains in effect until the content is deleted from AUPM’s systems.

16. Copyright Infringement; Notification and Takedown Procedures

We respect intellectual property rights and require all users of our Platform to do the same. If you believe your work has been copied in a way that constitutes copyright infringement, please provide the following information to AUPM's copyright agent, designated under Belgian and European copyright law:

1. Your address, telephone number, and email address.  
2. A description of the copyrighted work claimed to have been infringed.  
3. A description of where the material claimed to be infringing is located.  
4. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.  
5. An electronic or physical signature of a person authorized to act on behalf of the copyright owner.  
6. A statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

We have a policy to terminate repeat infringers’ access to the Platform when appropriate.

17. Security

When registering for AUPM services, you may need to set up login credentials. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately if you believe your credentials have been used without authorization. AUPM is not liable for losses or damages resulting from your failure to protect your login credentials.

18. Disclaimer

You are solely responsible for determining whether products are suitable for your dog. We do not provide any guarantees regarding allergies. 

Under no circumstances shall we be liable for any loss or damage resulting from the use of products or reliance on content from the Website, unless required by applicable law. Your exclusive remedy for any issues related to products is a replacement or refund at AUPM's discretion, unless required otherwise by Belgian or European consumer protection laws.  

19. Limitation of Liability

To the extent permitted by Belgian and EU laws, AUPM, its officers, directors, employees, or affiliates will not be liable for any:  
- Economic losses (e.g., revenue, profit, contracts, goodwill).  
- Indirect, special, incidental, consequential, or punitive damages arising from:  
  (a) Breach of this Agreement.  
  (b) Use or inability to use the Platform or its content, materials, or products.  

AUPM’s total liability related to the Services is limited to the amount you paid to AUPM in the preceding calendar month.

20. Indemnification

By using the Platform, you agree to indemnify and hold AUPM harmless from claims, damages, and expenses (including attorney fees) arising from your use of the Platform, Services, or products.

21. Exclusions

Some jurisdictions do not allow certain exclusions of warranties or limitations of liability. In such cases, these limitations may not apply to you.

22. Links to Third-Party Websites

The Platform may contain links to third-party websites. These are independent of AUPM, and we do not control their content. AUPM is not responsible for any damages arising from your interaction with such sites.

23. Termination

We reserve the right to terminate your subscription or access to the Platform at any time, for any reason, without prior notice.

24. Arbitration Agreement

Disputes will be resolved by arbitration under Belgian law in Brussels. By agreeing to these Terms, you waive your right to jury trials and class actions.

25. Severability

If any provision of this Agreement is deemed unenforceable, the remaining provisions remain valid.

 26. Entire Agreement

These Terms constitute the entire agreement between you and AUPM. For inquiries, email **info@aupm.be**.
